The Associations Constitution

THE AIMS AND OBJECTIVES OF THE ASSOCIATION

​

The Aims and Objectives for which the Association is established are:

1.1 To promote the use and development of Machine Applied Joint Sealants to Highway and Airfield concrete and asphalt pavements and other suitable ground surface areas and to promote the well-being and prosperity of persons or companies who have an interest in Machine Applied Joint Sealants in the United Kingdom and Overseas.

1.2 To encourage its membership to achieve the highest possible levels of quality in both the application and subsequent performance of their product or process by utilising appropriate training methods recognised within the industry.

1.3 To ensure that all of its membership acts in a manner which will protect the health, welfare and safety of both its employees and any person who may come into contact with its activities.

1.4 To ensure that no Member behaves in a manner that might produce short or long-term environmental damage and to this end members are expected to give due regard to the best environmental option when assessing any process or action they may wish to pursue.

1.5 To provide a comprehensive information service on all matters relating to the uses of Machine Applied Joint Sealants, including links via the Association Website.

2. MEMBERSHIP OF THE ASSOCIATION

2.1 Companies who are actively involved in manufacture and installation of Machine Applied Joint Sealants and ancillary products, materials or services to the industry shall be eligible to apply as MEMBERS of the Association provided that all other entry criteria can be met.

2.2 Companies who are not actively involved in the industry, as defined under membership item 2.1 as above, shall be eligible to apply as ASSOCIATES of the Association provided that all other entry criteria can be met. 2.3 ALL MEMBER and ASSOCIATE companies must be able to produce and lodge with the Association a Health & Safety Policy for inspection and approval and agree to carry out all contracting operations where relevant in full conformity with current legislation and regulations.

2.4 All MEMBER and ASSOCIATE companies must be able to lodge with the Association an approved Environmental Policy based on BS EN ISO 14001.

2.5 All Members and prospective Members of the Association are required to produce, or provide written evidence that they are working towards, a BS EN ISO 9000 series accreditation. A copy of the certificates of accreditation shall be lodged with the Association.

2.6 MEMBER and ASSOCIATE companies must agree, if requested, to allow independent technical assessment of works carried out.

2.7 Applications for membership of the Association shall be made in writing to the Secretary. Applications will be considered at the appropriate General meetings held normally twice per year each year or at any other approved Special meeting.

2.8 The Association shall ballot for and approve or reject any application for membership by a majority vote at a General or Special meeting.

2.9 MEMBERS of the Association shall be entitled to TWO votes per company. ASSOCIATES of the Association shall be entitled to ONE vote per company. HONORARY MEMBERS of the Association shall be entitled to ONE vote per company. The Chairman of the Association, will, if required, hold the casting vote.

3. OFFICERS OF THE ASSOCIATION

The officers of the Association shall consist of: Chairman, Vice-Chairman, Secretary/Treasurer Chairman of the Technical & Quality Committee Chairman of the Health & Safety and Environment Committee.

4. TERM OF SERVICE FOR OFFICERS

4.1 The Chairman shall be elected for a two year term and may offer himself for re-election for a further period of two years. 

4.2 The Vice-Chairman shall be elected for a two year term and may offer himself for re-election for a further period of two years.

4.3 The term in office for Chairman and Vice-Chairman shall be staggered.

4.4 All other Officers of the Association shall be elected or re-elected every two years. The election of officers shall be by ballot of the members attending.

4.5 The officers of the Association may, at their discretion, grant Honorary Membership to Members, present and past, in recognition of their exceptional services to the Association. Honorary Membership to be approved by a majority of the members attending.

5. COMMITTEES

5.1 The Policy Committee will comprise the Officers of the Association (item 3)

5.2 The Technical and Quality Committee will comprise the committee Chairman and Member representation.

5.3 The Health, Safety and Environmental Committee will comprise the committee Chairman and Member representation.

5.4 The Association may co-opt a non-member onto a committee to provide additional expertise should this be required.

6. MEETINGS

6.1 Regular General Meetings of the Association will be held twice each year normally in May and December.

6.2 The Annual General Meeting of the Association will precede the General Meeting in May.

6.3 The Officers of the Association will be elected at the AGM.

6.4 Special Meetings of the Association may be called at any time by the Chairman or upon written request of not less than 75% of the Members of the Association.

6.5 A majority of the Members shall constitute a quorum.

6.6 All Members would be expected to attend all regular meetings in any one year.

7. SUBSCRIPTIONS

Membership of the Association is contingent upon payment of the Association’s Annual subscription and Joining Fee, the levels of which are agreed at the AGM or other Special meeting. A new member joining during the year would be required to pay the full Joining Fee plus a ‘pro-rata’ subscription based upon the number of months remaining until 1 January. All annual subscriptions shall be paid within 30 days after they become due.

8. RESIGNATION OF MEMBERSHIP

Any member may withdraw from the Association in any year by giving notice in writing to the Secretary of the Company’s intention to do so, giving not less than six months notice prior to 1st January. Upon the expiration of such notice, the Company shall cease to be a member.

9. TERMINATION

The Association may suspend or terminate by a minimum 75% of the votes cast at an Association Meeting, the membership of any Member who had demonstrated a lack of integrity or technical skill with respect to the application of Machine Applied Joint Sealants.

​

10. AMENDMENT OF THE CONSTITUTION

The Constitution may be amended at an Annual General or any specially convened meeting of the Association. The amendments must be confirmed by a 75% majority vote.

11. OUTSIDE BODY REPRESENTATION AND CONTACT

The Association will actively canvass and promote the aims of the Association with outside bodies including the Department for Transport, TRL, BSI, BAA, BBA, CSS, CEN, and BASA together with other interested parties and end users.

​

12. PROMOTION AND EDUCATION

The Association shall provide technical and educational material when requested, in active promotion of the applications of Machine Applied Joint Sealants.
